David Eastwood

David is a property developer and commercial property investor with hands-on experience overseeing the construction and delivery of residential projects. His work has required close attention to build quality, project budgets, risk and long-term asset value.

At Inception Insights, David brings an owner-investor perspective to acquisitions. He focuses on commercial discipline, thoughtful transaction structures and preserving the qualities that made a business successful.

Our purpose

Good businesses are built over decades, not quarters.

Owners put years into building customer trust, developing capable people and earning a reputation. A change of ownership should respect that work.

We are looking for businesses with sound foundations and a clear role in their market. We consider complete acquisitions, staged transitions and other structures that lead to control.

Every discussion starts with the owner’s priorities. If there is a sensible fit, we move into a disciplined review of the business and agree a transition suited to its people, customers and operations.

What we look for

Established businesses with substance.

We are interested in profitable commercial and technical service businesses. These criteria guide our search rather than acting as a rigid checklist.

01

Established history

Generally ten years or more in operation, with particular interest in businesses built over twenty years or longer.

02

Commercial customers

Business-to-business revenue from commercial property, industry, government, healthcare, education or infrastructure.

03

Meaningful scale

Typically at least $3 million in annual revenue, with a preference for businesses above $5 million.

04

Sound economics

Sustainable earnings, sensible working capital and evidence that customers value the service provided.

05

Capable people

A reliable team, respected technical capability and a culture worth retaining through a change of ownership.

06

Australia focused

New South Wales is our primary focus, although we consider strong businesses elsewhere in Australia.

Areas of interest

Services that keep buildings and industry working.

We focus on essential services where technical knowledge, compliance, customer relationships and reliable delivery matter.

01

Mechanical and HVAC

Commercial HVAC, mechanical services, industrial refrigeration and specialist maintenance.

02

Electrical and controls

Commercial electrical contracting, maintenance, building automation, BMS and industrial controls.

03

Fire and compliance

Fire detection, protection, suppression, testing and ongoing compliance services.

04

Plumbing and hydraulics

Commercial plumbing, hydraulic services and related maintenance or project work.

05

Facilities and technical services

Facilities maintenance, integrated building services and specialist building engineering.

Our approach

Direct, discreet and grounded in the business.

STEP 01

Initial conversation

We listen to what matters to the owner and discuss the business at a high level. There is no obligation to proceed.

STEP 02

Fit and priorities

If there is mutual interest, we consider the business model, ownership objectives and possible transition arrangements.

STEP 03

Focused review

We undertake commercial, financial and operational due diligence with appropriate confidentiality.

STEP 04

Agreed transition

We work toward a structure and handover plan that supports continuity for customers, employees and suppliers.

There is more than one way to hand over a business.

A sale does not have to mean an abrupt exit. Depending on the owner’s objectives and the needs of the business, we can consider a complete acquisition, a staged buyout, deferred consideration or a supported transition period.

We do not assume that every good business is for sale. We welcome private conversations with owners who are simply considering their options.
